Understanding the Compliance Step Most Services Ignore
New York is one of only two states that requires LLCs to publish a notice of formation in newspapers. Under Section 206 of the New York Limited Liability Company Law, within 120 days of filing your Articles of Organization, you must publish a copy of the articles or a notice of formation in two newspapers — one daily and one weekly — designated by the county clerk in the county where the LLC’s office is located. Publication must run for six consecutive weeks in each newspaper.
After publication is complete, you must obtain affidavits of publication from each newspaper and file a Certificate of Publication with the New York Department of State, along with the required filing fee. Only after this certificate is filed is your LLC considered fully compliant.
The consequences of not publishing are significant. If your LLC fails to complete the publication requirement, the Department of State can suspend your authority to conduct business in New York. A suspended LLC cannot sue or defend lawsuits in New York courts — a serious operational and legal risk.
